Of course there is product in the field by other Consumer Electronic companies. What do you think this company was doing before we came into the picture. The purpose of this Agreement is to set forth the terms and conditions under which the Parties in their discretion shall communicate Information to each other, and the receiving Party shall maintain the confidentiality of such Information. Information disclosed hereunder shall be used for the sole purpose of carrying out the business relationship between the Parties and shall not be used for any activity which does not involve the Parties or the Products. The business relationship of the Parties shall be the exclusive sale of the Products by AA through multi-level \ direct sale marketing and infomercial direct response TV spots.
4.4 AA covenants and agrees that it will not at any time during the term hereof (or any extension or renewal term) and for a period of one (1) year after the termination of this Agreement directly or indirectly, be connected or associated in any manner with or render services or advice to, any business whose products or activities duplicate the functions of the Products. AA shall secure compliance with these restrictions by all parties who receive Information, directly or indirectly, from AA.
4.5 Voxred covenants and agrees that it will not at any time during the term hereof (or any extension or renewal term) and for a period of one (1) year after the termination of this Agreement directly or indirectly, be connected or associated in any manner with or render services or advice to, any use of multi-level\direct sale marketing or infomercial direct response TV for the sale of the Products. Voxred shall secure compliance with these restrictions by all parties who receive Information, directly or indirectly, from Voxred.
